Terms of Service

These Terms of Service ("Terms") govern your use of the services provided by NeverMiss ("we," "our," or "us") through our website at nevermisshq.com and our AI automation platform. By using our services, you agree to be bound by these Terms.

1. Service Description

NeverMiss provides AI-powered automation consulting and services for home service businesses, including but not limited to:

  • AI virtual receptionist and call answering services
  • Lead capture and follow-up automation
  • Quote follow-up and job booking automation
  • CRM integration and workflow automation
  • Missed call text-back services
  • Outbound AI calling campaigns
  • Operational audits and custom automation builds

We reserve the right to modify, update, or discontinue any aspect of our services at any time with reasonable notice to active subscribers.

2. Subscription Terms

Pricing: Service pricing starts from $500/month per location. Exact pricing depends on scope, volume, and services selected. Consulting engagements are scoped and priced individually.

Minimum commitment: All subscriptions require a minimum 3-month commitment from the date of service activation.

Cancellation: After the minimum commitment period, you may cancel your subscription with 30 days' written notice. No refunds will be issued for partial months.

Billing: Subscription fees are billed monthly in advance. Failure to pay invoices within 14 days of the due date may result in suspension of services.

Setup: There are no hidden setup fees. Any custom development or integration work beyond the standard scope will be quoted and agreed upon separately before work begins.

3. Your Responsibilities

As a user of our services, you agree to:

  • Provide accurate and complete business information
  • Maintain the security of your account credentials
  • Comply with all applicable laws and regulations, including telecommunications laws and do-not-call regulations
  • Obtain necessary consents from your customers for call recording and data processing
  • Inform your customers that calls may be handled by an AI assistant
  • Not use our services for any unlawful, fraudulent, or harmful purpose

4. Acceptable Use

You may not use our services to:

  • Make unsolicited calls or send unsolicited messages in violation of applicable laws
  • Harass, threaten, or abuse any person
  • Transmit malicious, deceptive, or misleading content
  • Impersonate any person or entity
  • Interfere with or disrupt the integrity of our services
  • Attempt to gain unauthorized access to our systems or other users' data
  • Use our services for any illegal activity

Violation of this acceptable use policy may result in immediate suspension or termination of your account without refund.

5. Intellectual Property

All content, technology, workflows, scripts, and systems developed by NeverMiss remain our intellectual property. Custom automations built specifically for your business are licensed for your use during the term of your subscription.

You retain ownership of your business data, customer information, and any content you provide to us for use in the services.

6. Data and Privacy

Our collection and use of personal information is governed by our Privacy Policy. By using our services, you acknowledge that you have read and understood our Privacy Policy.

You are responsible for ensuring that your use of our services complies with applicable data protection laws, including obtaining necessary consents from your customers.

7. Service Level and Availability

We strive to maintain high availability of our services but do not guarantee uninterrupted service. We may experience downtime for maintenance, updates, or due to circumstances beyond our control.

We will make reasonable efforts to notify you in advance of any planned maintenance that may affect service availability.

8. Limitation of Liability

To the maximum extent permitted by law:

  • NeverMiss shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services
  • Our total liability for any claim arising from these Terms or our services shall not exceed the total fees paid by you in the 3 months preceding the claim
  • We are not liable for any loss of revenue, missed calls, lost leads, or business interruption resulting from service downtime or technical issues
  • We are not liable for the actions or content of third-party services integrated with our platform

9. Indemnification

You agree to indemnify and hold NeverMiss harmless from any claims, damages, losses, or expenses (including legal fees) arising from your use of our services, your violation of these Terms, or your violation of any applicable law or regulation.

10. Termination

We may suspend or terminate your access to our services if:

  • You breach any provision of these Terms
  • You fail to pay fees when due
  • Your use of the services poses a risk to other users or our systems
  • We are required to do so by law

Upon termination, your right to use our services ceases immediately. We will retain your data for 90 days following termination, after which it will be deleted unless otherwise required by law.

11. Dispute Resolution

Any disputes arising from these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached, disputes shall be submitted to binding arbitration in accordance with applicable arbitration rules.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. You consent to the exclusive jurisdiction of the courts of England and Wales for any disputes not resolved through arbitration.

13. Changes to These Terms

We may update these Terms from time to time. We will notify active subscribers of material changes via email at least 14 days before changes take effect. Your continued use of our services after the effective date of changes constitutes acceptance of the updated Terms.
